Misdemeanors
John Kiely, now Special Counsel at Stroock, while of Counsel at Blank Rome, submitted an application on behalf of his pro bono client, an individual whose 1980s misdemeanor and a felony conviction was adversely impacting his life and well-being.
Murder
Beginning in 2021, a team of Stroock attorneys partnered with LatinoJustice PRLDF to author an amicus brief in support of a petition for certiorari to the U.S. Supreme Court seeking review of an Arizona court’s refusal, duration the sentencing of a defendant convicted of murder, to give the jury instructions in accordance with the U.S. Supreme Court’s 1994 decision in Simmons v. South Carolina. In Simmons, the Court held that where a capital defendant’s future dangerousness is at issue, and the only alternative sentence available is life imprisonment without the possibility of parole, the sentencing jury must be informed that the defendant is ineligible for parole.

Employment Contract
To recap, on January 5, the FTC proposed a near-complete ban on non-compete clauses in employment contracts, including a retroactive elimination of existing agreements.
Employment Litigation
Answer: No. General Counsel Abruzzo takes issue with general releases and covenants not to sue that go beyond the employer and employment claims, as well as matters after the effective date of the agreement.
Non-compete Agreement
The proposed Non-Compete Clause Rule represents a radical departure from hundreds of years of legal precedent that employs a fact-specific inquiry into whether a non-compete clause is unreasonable in duration and scope, given the business justification for the restriction. The Commission undertakes this radical departure despite what appears at this time to be a lack of clear evidence to support the proposed rule. What little enforcement experience the agency has with employee non-compete provisions is very recent (within the last week) and fails to demonstrate harm to consumers and competition. Lacking enforcement experience, the Commission turns to academic literature – but the current record shows that studies in this area are scant, contain mixed results, and provide insufficient support for the scope of the proposed rule.
Severance Agreement
On March 22, 2023, Jennifer Abruzzo, the General Counsel of the National Labor Relations Board (NLRB or the Board), issued guidance addressing the NLRB’s decision in McLaren Macomb, 372 N.L.R.B. No. 58 (Feb. 21. 2023), which held that simply proffering severance agreements with overbroad non-disparagement and confidentiality language, in and of itself, is an independent violation of Section 7 of the National Labor Relations Act (NLRA or the Act). The benefits are significant. Excepted investors are exempt from CFIUS’s recently expanded jurisdiction, including (1) all mandatory declarations, (2) non-controlling investment jurisdiction, and (3) jurisdiction over real estate transactions not otherwise subject to review. Plainly, this status can make a foreign investor an attractive candidate when other bidders cannot claim such status. Of note, “excepted investor” status does not exempt a transaction from CFIUS jurisdiction if the investor will acquire “control” [2] over a U.S. business, as defined under applicable regulations, even if the target is not involved in sensitive activities (e.g., the production or development of “critical technologies”). Thus, while the benefits of “excepted investor” status are clear, CFIUS ultimately still has the right to review many transactions involving foreign acquirers from excepted foreign states.

Bankruptcy
The appeal arose out of the Chapter 11 bankruptcy case of Miami Metals II, Inc. (f/k/a Republic Metals Corporation), a precious metal refinery based in Miami, and a dispute between the Lenders and more than 50 of the debtors’ refining customers over the ownership of the debtors’ precious metal inventory. The customers, who had delivered scrap metal and other raw materials to the debtors for refining, contended that they continued to own the delivered metal throughout the refining process and therefore were entitled to return of the refined metals or payment in full. The Lenders, who held liens on substantially all of the debtors’ assets, argued that title had transferred to the debtors upon delivery to the refinery because the debtors were entitled to return “like kind” metal of equal value or cash to the customers. Ultimately, the debtors, the Lenders, and the customers agreed to a set of bespoke litigation procedures that allowed the parties to adjudicate the customer claims without the need to file 50 separate adversary proceedings, by grouping the customers into eight “buckets” based upon the characteristics of each customer’s agreement with the debtors.
