Partner, has extensive experience in corporate and securities law, with emphasis on business planning, public and private corporate finance, and mergers and acquisitions. Prior to joining the firm, Mr. Falk worked for the U.S. Securities and Exchange Commission's Division of Enforcement from 1988 through 1989 and in the Division of Corporation Finance from 1990 through 1993 where he was the senior disclosure attorney for the SEC's Pacific Region. He received his J.D. degree from Loyola Law School, Los Angeles, in 1988 and his B.S. degree in Accounting from Kean College, New Jersey in 1985. Prior to completing his law degree, Mr. Falk worked as a tax accountant for a national accounting firm. Mr. Falk is a member of the Corporations Committee of the Business Law Section of the State Bar of California.

The Corporate and Securities Law Group of Irvine Venture Law Firm, LLP provides timely, cost effective services in the negotiation and preparation of documents for all types of business transactions, including corporate and limited liability company financing and acquisition, the organization, reorganization and dissolution of business entities and advice regarding business and corporate matters. Our Corporate and Securities Law Group is headed by Barry D. Falk, whose career includes five years with the Securities and Exchange Commission as an attorney in the corporate finance and enforcement divisions.

The Tax and Estate Planning Group of Irvine Venture Law Firm, LLP provides services to clients in the planning, negotiation and controversies involving federal and state income, gift, estate, generation-skipping transfer, employment and excise taxes; state sales and use taxes. The Tax and Estate Planning Group of Irvine Venture Law Firm, LLP is headed by Michael E. Shaff, who has more than 25 years experience in federal and state tax planning and litigation. Mr. Shaff is certified as a legal specialist in taxation law by the Board of Legal Specialization of the California State Bar.
Trusts
Partner, specializes in all aspects of federal income taxation. Mr. Shaff is co-author of the "Real Estate Investment Trusts Handbook" published by WestGroup. Mr. Shaff's practice includes all aspects of taxation, related finance transactions and debt and equity offerings. Mr. Shaff practiced tax law for five years in New York City and for three years in another California law firm before founding the firm with Mr. Falk. Mr. Shaff also served as a trial attorney with the office of the Chief Counsel of the Internal Revenue Service for three years. Mr. Shaff is certified by the Board of Legal Specialization of the State Bar of California as a specialist in tax law. He is a member of the California Lawyers Association (Trusts and Estates Section), and the Massachusetts and New York bars. Mr. Shaff is the past chair of the Tax Section of the Orange County Bar Association.
