Mr. McCarthy is a Lehigh Valley native and has practiced law in the Lehigh Valley for over 15 years, representing numerous business organizations (including hospitals and colleges), developers and individuals in real estate, construction, land development, zoning, corporate law and other matters.

Mr. Stevens has experience in handling FINRA arbitration, private mediations and serving as an arbitrator and litigator in the Lehigh County Court of Common Pleas arbitration program. He is well-versed in the appellate process based on his experience in private practice as well as serving as a Judicial Intern to the Honorable John T.J. Kelly, Jr. of the Pennsylvania Superior Court. Mr. Stevens has taught computer legal research as a Business Law Instructor at the Pennsylvania State University, Lehigh Valley Campus.
Business Transactions
We have extensive experience in commercial transactions--the purchase by a business of some or all of the assets of another business. We have handled individual transactions with a value up to $75,000,000. These transactions typically involve commercial real estate, business personal property (such as equipment and inventory), contract rights, intellectual property (trademarks, for example) and other types of assets. These transactions have often included assets in other states, and in these instances we have worked closely with local counsel. Our experience also includes representing a client (with the assistance of bankruptcy counsel) in the purchase of substantial assets from a seller in bankruptcy, including our client having served as the "stalking horse bidder" for such assets.
Limited Liability Companies
In consultation with our clients' accountants, we assist clients in identifying the form of business entity that best suits their business model, whether that is a sole proprietorship, partnership, limited liability company, limited liability partnership or corporation. We then take all necessary steps to form that entity, including the preparation and filing of formation documents, (e.g. Articles of Incorporation/Certificate of Formation), the preparation of bylaws, shareholders agreements and stock certificates, partnership agreements or operating agreements, as applicable, the preparation of any required resolutions and public advertising of the formation of the entity, as required. Our personalized legal advice and customized documentation insure that our clients' documents include the specific provisions they want. This approach is particularly important when forming partnerships and limited liability companies, where the options are virtually unlimited and careful choices must be made.
Construction Contracts
As a result of these experiences, Davison & McCarthy has extensive experience with construction contracts, including, specifically, AIA (American Institute of Architects) contract forms (we currently have a license to access and prepare such forms), obtaining municipal approvals (see Municipal Law under TYPES OF LAW on this website), mechanics' lien issues (including contractor waivers and enforcement in the absence of waiver), and other matters typically arising out of construction arrangements.

Generally, the firm charges professional fees on an hourly basis, However, the firm will enter into alternate fee arrangements when that makes sense for both you and the firm. For example, the firm will enter into contingency fee arrangements for certain personal injury and collection claims. The firm will also enter into flat fee arrangements in instances where the scope of work and the fees are reasonably predictable. Further, the firm offers discounted fees and other cost-saving arrangements to charitable, non-profit organizations.

Our goal in our estate planning practice is to explain the available options and strategies to our clients so they can make informed decisions about these important issues. We are committed to achieving this goal by spending time with our clients and providing personalized and professional legal representation in estate planning matters, keeping in mind the sensitive nature of the issues involved and the individual's specific needs and objectives. The probate process refers to the process of having a decedent's will declared valid and effective by the Register of Wills and includes oversight of the administration of the decedent's will. Estate administration involves identifying and valuing the decedent's assets; paying the decedent's debts; preparing and filing appropriate tax returns including the decedent's final income tax returns and inheritance and estate tax returns; paying the taxes owed by the decedent and the estate; and distributing the assets in accordance with the decedent's will or, if there is no will, in accordance with Pennsylvania's intestate laws.

We assist clients who are owed money by debtors. We use a variety of tools to locate debtors and then take necessary action to collect the money for our clients. Our attorneys assist businesses with the entire collection process, from demand letters, through litigation, and the levy and execution process, including the filing of supplemental proceedings to discover assets. We maintain constant communications with our clients throughout the collection process keeping them up to date on all stages of the proceedings.
