Limited Liability Companies
The SEC has gone one step further in addressing oversight issues relating to limited liability companies and partnerships when it states: “Some companies do not have boards of directors and therefore do not have board audit committees. For example, some limited liability companies and limited partnerships that do not have a corporate general partner may not have an oversight body that is the equivalent of an audit committee. It may be important to investors to be aware that such entities do not have such oversight bodies. Therefore, we do not propose to exempt these entities from the proposed financial expert disclosure requirements. If a limited liability company or limited partnership does not have a similar oversight body, it must explain that its organizational structure does not provide for such a body and that it therefore does not have an audit committee.”

Wrongful Termination
The importance of this area cannot be overstated as there may be exposure (in addition to that created by the Act) to tort actions for wrongful termination and violation of public policy, which may permit an award of punitive damages.

Real Estate Litigation
Mr. Small attended the University of California at Los Angeles and San Diego State University, from which he received his Bachelor of Science degree in accounting in 1967. Mr. Small received his Juris Doctor degree from the University of California, Hastings College of the Law in 1970. In 1971 he received the designation of Certified Public Accountant and in 1991 he was awarded the designation of Accredited Estate Planner® by the National Association of Estate Planners & Councils ("NAEPC"). From 1970 to 1972, Mr. Small specialized in tax matters with the accounting firm of Arthur Young & Co. (now Ernst and Young) and from 1972 through 1985 he was a member of a San Diego business and real estate law firm. Since 1985, he has been a principal in the law firm of Harold S. Small, a Professional Corporation, and also was a partner in the law firm of Lorenz, Alhadeff, Lundin & Oggel. Mr. Small has served on numerous committees of the American, California, and San Diego County Bar Associations and has been the chairperson of the Taxation Section, Law Office Management Committee, and Insurance Committee of the San Diego County Bar Association. He was also the President of the University of California, Hastings College of the Law Alumni Association, San Diego Chapter, from 1973-1974.

Landlord-Tenant Disputes
The practice of real estate law encompasses a number of areas. The breadth of the area runs from the purchase or sale of real estate to leases, and includes tax-free exchanges, loan related transactions, zoning, condominium filings, and landlord-tenant disputes. All of these require the advice of counsel on matters ranging from how to take title to real estate to formulating the precise language in a real estate purchase/sale agreement. Each party in a transaction can have his/her/its own attorney who can provide guidance as to their specific needs.

Estate Planning
Estate Planning is the process to ensure that desires and wishes relating to the distribution of assets is accomplished. We assist clients with documenting their directions with a broad range of estate planning services.
Wills
We will still use Advance Health Care Directives (frequently referred to as living wills) to provide directions for what is to occur when the signing party is no longer able to make health care decisions for himself/herself.
Trusts
A: A Will designates an Executor(s) and a Trust designates a Trustee(s). If there is no Will, and a probate proceeding is commenced, an Administrator is appointed who acts much like an Executor and has comparable powers. The Executor or Administrator administers property of the Probate Estate and the Trustee administers property held in a Trust. Probate administration or trust administration primarily involves the process through which assets are transferred from the name of the decedent/trust to the names of the beneficiaries. In the case of the trust, this administrative process may include distributions of income in principle over a number of years.
Power of Attorney
Other documents that need to be considered and/or used in connection with Family Distribution Planning include an Advance Health Care Directive (living will in some jurisdictions), durable power of attorney, property agreement or declaration, beneficiary designations (e.g. insurance, employee benefit plans, and IRA’s), title transfer documents (e.g. grant or quitclaim deed, assignment of partnership interest, new stock certificate), and other documents depending upon jurisdiction.
