Business Disputes
Only a lawyer could coin a term such as "alternative dispute resolution" to define various forms of mediation and arbitration. To the rest of the world, especially those of you with a historical bent, the term conjures up images of dueling at sunrise in an open field or the toss of a coin (or worse, revolvers with some empty chambers?). What I am addressing in this newsletter is, however, more relevant and more boring than such historical definitions of "alternative dispute resolution." The spiraling costs in time and money of resolving business disputes through traditional litigation in the court systems has continued to push "aggrieved" parties to seek more cost-effective solutions for resolution of contractual, employee, domain name and many other disputes. Here follows my attempt to make some sense of this movement away from the traditional approach of lawyers fighting for your rights to your last dollar.
Business Transactions
Dollars and Sense. The total dollar amount at stake, let alone the very ability to continue to conduct the business of business, makes these transactions as substantial as any transaction involving your business. Yet, many business owners still think that negotiating the leasing of a new facility, renewal of an existing lease or addition of space to an existing lease is a job they can best do themselves. What is wrong with this thinking? Few business owners will handle the routine maintenance and repairs, including oil changes, on their own car. Even fewer would seriously consider representing themselves in a lawsuit involving a dispute valued at $30,000. Yet many business owners represent themselves in what may well be one of the largest financial business transactions of the year. Assume a five year lease including renewals, the cost of legal representation in a lease negotiation, as a percentage of the amount at stake, is a tiny fraction of the cost of using professionals in the two previous examples. Do the math: a five year lease of space that has a total monthly rate (adding base and additional rent) of $8,000 results in almost $500,000 in payments over the term of the lease.

Employment Contract
Non-disclosure agreements (also called confidentiality agreements) forbid them from using confidential or privileged information they gleaned at their former workplace. A single employment agreement will usually include all three prohibitions.
Non-compete Agreement
In Minnesota, employee non-compete agreements must be presented to the new employee with or prior to giving an offer of employment to a prospective employee and the agreement must be executed by the employer and employee prior to the commencement of employment. As to existing employees, independent and adequate compensation must be given to the existing employee as legal consideration for the non-compete agreement. "Sign this or your fired" or other similar approaches definitely do not work.

Real Estate Litigation

Landlord-Tenant Disputes
Suffice to say for now, a correctly crafted mutual waiver of subrogation and, possibly, a mutual waiver of claims, carefully reviewed by your insurance agent with compatible language in the respective insurance policies of the landlord and tenant is the best solution. How close you get to this best solution is dependent on first being aware of the ramifications of the lease language and how much of the proposed language can be changed through negotiation.

Personal Injury
Litigation: Summons, Complaint, Interrogatories, Document Production, Depositions, Negotiations, Trial Preparation and then you settle the case. Only now most court systems require the parties to also at least go through the motions of pursuing alternative dispute resolution before going to trial. Ironically, the court mandated alternative dispute resolution requirement is, as many argue, too little, too late and just adds expense and time delay to the whole process. The reality is that only a few percent of filed civil lawsuits go to trial. And, many of these civil cases involve personal injury or family law matters.

Estate Planning
Joint Ownership Of Assets: Many people believe that joint ownership, with right of survivorship, is sufficient estate planning. Pretty accurate, maybe, as long as you ignore "simultaneous" death as in vehicle accident, house fire, boating accident or other accidental occurrences. Then the story changes completely. In addition, the company stock ends up in Probate Court.

Trusts
Revocable Living Trusts are not the first answer for the average person. The higher up-front cost and greater up-front effort may not be justified when net worth primarily consists of a jointly owned home, jointly held bank accounts and life insurance.
Power of Attorney
Disability: With each advance in medicine, the probability that disability will precede death increases. Health care directives and powers of attorney do not address the details of what you want done from a financial/business standpoint during a period of disability. A Revocable Living Trust can address issues important to the continued operation and success of your business as well as continuing care for you and your loved ones. A Will, by definition, does not apply until you are dead.

Subordination Without Non-Disturbance; Quiet Enjoyment: These are a whole lot more than just arcane terms. Subordination means your lease is effectively lower in importance to the current or new lender's rights. Without a Non-Disturbance agreement, lenders could end up terminating your lease. Properly coupling a subordination and non-disturbance agreement protects you, especially in a foreclosure situation.
