Employment Contract
Employment Litigation
There is even more cause for concern. At the end of the guidance memo, the General Counsel set forth a number of other common provisions that she believes may interfere with Section 7 rights. Those include non-compete language, no solicitation/no-poaching clauses, broad liability releases that go beyond employment claims, and cooperation requirements.
Non-compete Agreement
Severance Agreement
McLaren Macomb decision that dramatically limits the use of non-disclosure and confidentiality provisions in severance agreements. The new guidance emphasizes that the mere proffer of a severance agreement with overly broad terms constitutes an unfair labor practice, and clarifies that offering or enforcing violative severance agreements may be penalized retroactively. Further, those scrutinized provisions may not be included in severance agreements even if requested by employees. The Office of General Counsel further opined that now even supervisors may fall under this analysis in some cases.

Property Damage
In order to resolve that question, the District Court looked to see how the Alabama Supreme Court applied the “trigger of coverage” coverage rule in a property damage case. Tellingly, the issue of whether Munich was obligated to “follow the fortunes” of AMIC’s underlying coverage decisions did not merit discussion by the Federal District Court.

Wills
Last Will and Testament - A last will and testament is a legal document that controls what happens to a person's property and assets after their death. Wills allow a person to give their assets or property to certain beneficiaries and determine what, when and how much of the estate they each will receive. Wills also contain language appointing guardians to care for minor children. Once a will is in place, the executor of the will is in charge of gathering and dividing the assets of the estate according to the wishes of the decedent.
Trusts
The most common form of trust is the revocable (inter vivos or living) trust. However some circumstances dictate the use of irrevocable trusts, special needs trusts, or other speciality trusts that hold assets such as real estate or closely-held stock. Our attorneys offer experienced guidance on...
Power of Attorney
A Durable Power of Attorney - A durable power of attorney is used to direct a person's affairs while they are still alive. The POA can become effective immediately if the person needs help dealing with their day-to-day affairs, or it can become effective only after a person is incapacitated and cannot make decisions for themselves. While a power of attorney allows a person to appoint an agent to pay bills and attend to their needs while they are still alive, the durable power of attorney ceases upon the death of the individual.
