A qui tam legal action is any action brought by a person against a government contractor that the individual suspects, or knows, is committing an act of fraud against the government. The federal and state qui tam provisions allow private citizens to file fraud charges, and bring suit, in the name of the government, against government contractors, and others who receive government funds. The qui tam provision allows the person pursuing the action to share in any money recovered. Whistleblower cases often relate to medicare fraud, but can apply to any contractor.

(a) Options Backdating. In Ryan v. Gifford, 918 A.2d 341 (Del. Ch. 2007) we obtained the Delaware Chancery Court’s definitive declaration that backdating option grants violates directors’ fiduciary duties to shareholders. The litigation also produced landmark Delaware decisions regarding personal jurisdiction, discovery issues in derivative litigation and interlocutory appeal issues. On January 2, 2009, the Delaware Chancery Court approved a settlement of $28 million in cash plus option givebacks and unique and unprecedented corporate governance reforms
Unfair Competition
Murray v. Sears, Roebuck & Co. et al, No. 09-cv-5744-CW (N.D. Cal.) (Firm represents California plaintiff who purchased Kenmore brand clothing dryer that was deceptively marketed as containing a 100% “stainless steel” drum when in fact the drum contained mild steel that caused clothing to damage and rust. The firm recently defeated Defendants Sears, Roebuck & Co. and Electrolux Home Products, Inc.'s Motion to Strike Plaintiff’s Class Allegations and was permitted to pursue plaintiff’s California Consumer Legal Remedies Act and California Unfair Competition Law claims on a class-wide basis.
