Limited Liability Companies
Two of the most common small business entities that address personal liability are subchapter S corporations and limited liability companies (LLC). By "stuck" I mean that the person who died never listed another person as a death beneficiary or co-owner with right of survivorship, or retitled their asset into the name of their living trust. Since dead people can't sign a title to an asset (such as a bank account or house) over to another person, probate court must be used to transfer the asset to the appropriate family member or friend.
Probate
When a new client comes in to see me, I always tell them that if they can remember one sentence, they will know more about probate law than 99% of their family and friends. Here is the sentence: If an asset is "stuck" in the name of a dead person alone, it will have to go through probate court.
