Child Support
On a global basis, all domestic cases involve one or more of the big four issues: custody, spousal and/or child support, division of marital property and divorce. Within each of these issues are many sub-issues of varying degrees of importance to each spouse. The collaborative law process invites the parties to determine the sequence in which they will address each issue.

In divorce litigation, a complaint for child and spousal support may start the proceeding and a hearing date and time will also be assigned. Although there is some flexibility to reschedule to a more convenient date, the parties cannot select the date and time most convenient to them. On the scheduled date, they must appear at the court and be prepared either to resolve the financial issues or have someone else resolve them. The time allotted to the matter and the kind of information that can be presented are also limited. Pennsylvania business corporations are formed by filing Articles of Incorporation with the Department of State. A corporation is a separate and distinct entity from its shareholders. Therefore, shareholders are not personally liable for a corporation’s obligations and debts even if the shareholder participates in managing the company. A corporation is managed by its board of directors, who are elected by the shareholders. At a minimum, bylaws need to be adopted by the corporation to govern the internal operations of the company and, in some cases, a written shareholder agreement should also be entered into. Furthermore, corporations are required to satisfy certain corporate formalities, such as holding annual directors and shareholders meetings. For tax purposes, a corporation is subject to double taxation, both the corporation and the shareholders pay taxes on income received. This is one of the principal drawbacks of a corporation; however, in some circumstances, a corporation can elect to be taxed like a partnership.

Limited Liability Companies
Limited liability companies are created by filing a Certificate of Organization with the Department of State. In general, a limited liability company (“LLC”) combines the federal tax advantages of a partnership, while providing its owners, called members, with personal liability protection enjoyed by shareholders of a corporation. It is essential that members of a LLC enter into a written Operating Agreement. LLCs may either be member-managed or manager-managed. Eminent Domain
The government’s constitutional power to take private property for a public use is known as the power of “eminent domain”. When the government “takes” property, it is said to “condemn” the property. Although eminent domain is a broad constitutional power reserved to the government, the power of eminent domain is limited by both state and federal laws, which are meant to protect and preserve our fundamental property rights. Both the federal and Pennsylvania Constitutions prohibit the taking of private property without a public use and without just compensation being paid to the private property owner.
