Mergers and Acquisitions
We often serve as special counsel to corporate, finance and restructuring attorneys working with investors or liquor licensees to achieve their business goals. In this context we have advised on complex transactions including mergers and acquisitions of national hotel and restaurant chains, license protection and license transfers in bankruptcy.
Business Transactions
The Commissioners represent each of the States and U.S. territories and are lawyers, judges, state legislators, law faculty members, and others with wide ranges of business experience, with the insights they bring with them to develop and evaluate the text of an act. This breadth is vital. Those Commissioners working on the uniform act to enforce DTC laws are not beverage alcohol experts; rather, they bring a practical experience of how business works in evaluating the text. Over 70 observers sit in meetings or Zoom calls with the Commissioners as the text is developed and finalized. Observers are experts in beverage alcohol State and Federal regulation, marketing, promotion, business transactions, trade association lobbying, shipping companies, delivery carriers, producers, importers, wholesalers, and retailers, and many others in the business of the commercial beverage alcohol market in the U.S.
Unfair Competition
There is a private right of action (lawsuit) only in cases of a breach of security, but many plaintiffs are suing under the Unfair Competition law and bringing the Privacy laws in through the backdoor.
Antitrust
Consignment Sales Enforcement Under the FAA Act is specifically addressed. The Report includes an extensive description of the legislative history of the FAA Act, a detailed explanation of how ATF and TTB have administered the FAA Act, and an in-depth summary of each unfair trade practice provision on exclusive outlet, tied-house, commercial bribery, and consignment sales. These details are a very “matter of fact” style. Interestingly, however, the Report expounds a view on the consignment sales provision noting that outside of the FAA Act, no other antitrust law or regulation views consignment sales as “inherently anticompetitive conduct.” Further, the Report explains how consignment sales will help small suppliers and suggests that TTB investigations have shown that small suppliers believe these are a useful and valuable approach for entering the marketplace. Readers of this blog may recall my criticism in the past on the TTB trade practice enforcement actions on consignment sales and stipulated suspensions of basic permits held by small wineries. Non-compete Agreement
The executive order [4] directs Cabinet Heads of Departments to address seventy-two specific activities or programs within the current authority of the Executive Branch agency. It encourages independent commissions, like the Federal Trade Commission and the Federal Maritime Commission, to take similar steps voluntarily. These range from broad edits like “net neutrality” and prohibiting many “non-compete agreements” to very pointed ones like obtaining hearing aids without a prescription and restricting poultry practices discriminating against farmers in fair pricing. And, yes, even two specifically apply to the beverage alcohol industry. [5] They direct the Secretary of the Treasury (with the Attorney General and the Chair of the Federal Trade Commission (FTC)) to look at the impact on small business from the consolidations occurring in all three tiers and direct the Alcohol and Tobacco Tax and Trade Bureau (TTB) to undertake new rulemaking on trade practices to update the regulations, rescind current regulations that unnecessarily impede competition, and reduce any barriers (within TTB’s legal authority and control) to market entry by smaller and independent distillers, wineries, or breweries.
