Since the legalization of both Medical and Adult Use Cannabis in Massachusetts, Daniel has focused a significant portion of his practice in the formation, licensing and operation of both medical and adult use cannabis establishments. Daniel has successfully represented several successful Massachusetts cannabis establishments, including the first medical dispensary in the City of Boston and the first adult use retailer in the Commonwealth. Daniel advises his clients in all aspects of the Cannabis industry, including corporate structuring and entity formation, commercial contract review, mergers and acquisitions, real estate leases and/or purchases, regulatory compliance and state and local licensing applications.

Mr. Shelton’s practice is concentrated primarily in the area of commercial real estate transactional work including acquisition, sale, lending, leasing, brokerage, title, survey, development, land use, environmental compliance and permitting as well as corporate, LLC, partnership and general business law including formation of entities, purchase and sale of business, and general business transactions.
Business Transactions
In order for a broker to enforce the terms of a commercial listing agreement in Connecticut, the listing agreement must comply with certain specific statutory and regulatory requirements. Specifically, it must either satisfy the “long form standards” set forth in CGS 20-325a (b) or, for commercial transactions, the “commercial short form standards” set forth in CGS 20-325a (c). Absent full compliance with the long form standards or commercial short form standards, a broker can try to hang its hat on a savings clause in CGS 20-325a (d) by proving (1) it would be inequitable to deny recovery of a commission and (2) that the listing agreement is in substantial compliance with certain elements of the long form standards or commercial short form standards.
